Terms and Conditions
Last updated: September 17, 2026
1. Acceptance of Terms and Scope
These Terms and Conditions govern your access to and use of the Neuralist marketing website at neuralist.io, the Neuralist application, any installed or progressive web app version, and related services (collectively, the "Services"). By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, do not use Neuralist.
2. Eligibility
You must be at least 13 years old, or the age of digital consent in your jurisdiction if higher, to use Neuralist. If you use Neuralist on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.
3. Accounts
To use the application, you must create an account with our authentication provider. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or suspected breach of security.
4. Subscriptions and Billing
Certain features require a paid subscription processed by our payment provider. Prices, billing intervals, plan features, and limits are described when you subscribe and may change from time to time. Taxes may apply based on your location.
Paid subscriptions automatically renew for the applicable billing period until canceled. By subscribing, you authorize us and our payment provider to charge your selected payment method for recurring subscription fees and applicable taxes. If your payment method fails, we may suspend or cancel access to paid features until payment is resolved.
If you change subscription plans, the timing and amount of charges or credits will be shown as part of the plan change where applicable.
Trials, promotions, and discounts may be offered from time to time and are subject to the terms presented with the applicable offer. Unless otherwise stated, a trial or promotional subscription that converts to a paid subscription will continue and renew according to the subscription terms presented when you enroll unless you cancel before the applicable charge.
5. Cancellation and Refunds
You can cancel your subscription at any time through the cancellation options provided in Neuralist. Cancellation takes effect at the end of the current billing period unless stated otherwise during a specific promotion or where required by law. Except where required by law, fees already paid are nonrefundable. After cancellation, you will retain access to free features where available.
6. Referral Program
Neuralist may offer referral rewards, credits, or similar programs. Participation is subject to the rules and qualification requirements presented with the applicable program. We may verify referrals and may withhold, cancel, or reverse rewards for refunds, cancellations, duplicate or self-referred accounts, fraud, abuse, manipulation, or failure to satisfy program requirements.
Unless expressly stated otherwise, referral credits have no cash value, are not transferable, and may only be used as described by the applicable program. You are responsible for any taxes or other obligations associated with rewards you receive. We may modify, suspend, or end a referral program or change its terms, rewards, or eligibility requirements at any time, subject to applicable law.
7. Acceptable Use
You agree not to:
- Use Neuralist in a way that violates applicable laws or regulations
- Upload, import, send, or share content that is infringing, unlawful, harmful, abusive, or invasive of privacy
- Harass, threaten, impersonate, deceive, or abuse other users
- Send spam or use invitations, shared boards, or messaging features for unauthorized or abusive purposes
- Attempt to access accounts, boards, content, or systems without authorization
- Interfere with or disrupt the integrity, security, or performance of Neuralist
- Reverse engineer or attempt to derive source code except to the extent permitted by law
8. Your Content
You may submit tasks, notes, plans, conversations, messages, calendar-related data, imported data, and other content to Neuralist. You retain any rights you have in your content. You grant Neuralist a limited license to host, process, store, transmit, and display your content as necessary to provide, maintain, secure, and operate the Services.
This includes content generated, submitted, or exchanged through conversations and other Neuralist features. You are responsible for your content and for ensuring that you have all rights, permissions, and authority needed to submit, import, or share it.
9. Shared Boards and Collaboration
Neuralist allows users to create or participate in shared boards and to communicate and collaborate with other users. Content you create, add, or send within a shared board, including tasks, plans, notes, conversations, messages, and activity, may be visible to other members who have access to that board.
Board owners, administrators, or other authorized members may be able to invite or remove members, assign roles, manage access, and perform other administrative actions. Your ability to access shared content may change or end if your membership or permissions change.
When you invite another person or provide information about another person through Neuralist, you are responsible for having the authority or permission necessary to do so and for using that information appropriately.
Content contributed to a shared board may remain associated with that board after you leave the board, lose access, or delete your account where necessary to preserve the shared board and the content or conversations of its remaining members, subject to our Privacy Policy and applicable law.
10. AI Features
Neuralist includes optional AI-powered features, including Nova. Depending on the feature and your request, Nova may use information available within your Neuralist account, including Things, plans, conversations, calendar information, settings, and other relevant account content, to provide assistance.
Nova may also propose or perform actions within Neuralist, such as creating, editing, organizing, or analyzing content or changing supported settings. Some actions may require your confirmation, while others may be performed without a separate confirmation depending on the feature, your settings, and the nature of the action.
AI-generated output and AI-performed actions may be incorrect, incomplete, unexpected, or unsuitable for your circumstances. You are responsible for reviewing AI-generated or AI-modified content and for deciding whether to rely on or act on it, including when a feature does not require confirmation.
When you use AI features, relevant content and context may be sent to third-party service providers for processing as described in our Privacy Policy. AI interactions and resulting actions or responses may be stored in Neuralist where appropriate to provide conversation history, product functionality, or related records.
We may change or update AI features over time, including the models, providers, capabilities, available actions, confirmation requirements, and ways outputs are generated or presented.
11. Web Research and Third-Party Information
Some Neuralist features may search, retrieve, summarize, analyze, or use information from public websites and other third-party sources. These features may rely on third-party AI, search, or data services to perform that research.
Third-party information may be inaccurate, incomplete, outdated, unavailable, or changed after it is retrieved. Neuralist does not control or endorse third-party websites or content and does not guarantee the accuracy of sources, citations, prices, availability, recommendations, or other information obtained from third parties. You should verify important information with the relevant source before relying on it or taking action.
12. Data Imports
Neuralist may allow you to import information from third-party services or files, including supported backups and exports. By importing data, you represent that you have the right and authority to provide and use that data in Neuralist, including any information relating to other people.
Imports depend on the structure and contents of data produced by third parties. We do not guarantee that imported data will be complete, accurate, free of duplicates, or formatted identically to the original service. You should retain an independent copy or backup of important information before importing it into Neuralist.
13. Calendar Integrations
Neuralist may offer optional calendar integrations that allow supported Neuralist data to appear in external calendar services or applications. These integrations only operate when you enable them.
If you connect a Google account for Google Calendar integration, you authorize Neuralist to use that connection to provide the Google Calendar functionality you enable. Neuralist does not use your Google account integration for unrelated purposes.
Neuralist may also allow you to create an ICS calendar feed that can be subscribed to or imported into calendar applications. If you enable an ICS feed, you are responsible for controlling access to the feed URL. Anyone with access to that URL may be able to view the calendar data provided through the feed until the feed is revoked, changed, or disabled.
We may change, limit, suspend, or discontinue calendar integrations as needed for security, compliance, reliability, provider requirements, or product changes.
14. Notifications and Reminders
Neuralist may provide reminders, emails, in-app notifications, push notifications, operating-system notifications, and similar features. These features are provided for convenience and should not be relied upon as the sole means of receiving time-sensitive or important information.
Notifications may be delayed, duplicated, blocked, or not delivered because of device, browser, network, operating-system, provider, configuration, or other conditions outside our control. We do not guarantee that any notification or reminder will be delivered or received at a particular time.
15. Service Availability, Updates, and Changes
Neuralist may be updated automatically, including installed or progressive web app versions. We may modify, update, limit, suspend, or discontinue features at any time for product, security, compliance, reliability, operational, or other reasons.
We will try to provide reasonable notice for changes that materially affect your use when appropriate, but we may make changes without advance notice when necessary.
16. Intellectual Property
Neuralist, including its content, branding, design, and underlying software, is owned by Neuralist or its licensors and is protected by intellectual property laws. Except as permitted by these Terms, you may not copy, modify, distribute, or create derivative works from Neuralist.
17. Third-Party Services
Neuralist uses third-party providers for authentication, payments, email, hosting, analytics, advertising measurement, AI functionality, search and research functionality, calendar integrations, and other operational services. Your use of third-party services may also be subject to those providers' terms and policies.
We may use third-party analytics and advertising technologies to better understand how visitors interact with our website, measure the effectiveness of marketing campaigns, improve our Services, and support advertising and remarketing activities. These technologies may include cookies, pixels, tags, session recording tools, and similar technologies provided by third parties.
Certain third-party services may collect information directly from your browser or device when enabled. The collection and processing of personal information by those providers is governed by their own privacy policies and terms.
We are not responsible for third-party services, websites, information, or content that we do not control.
18. Privacy
For information on how we collect, use, and protect personal data, please see our Privacy Policy. By using Neuralist, you acknowledge that the processing described in the Privacy Policy applies to your use of the Services.
19. Disclaimers
Neuralist is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free from loss or corruption of data.
20. Limitation of Liability
To the fullest extent permitted by law, Neuralist will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use Neuralist. Our total liability for any claim relating to the Services will not exceed the amounts paid by you to Neuralist during the twelve months before the event giving rise to the claim.
21. Indemnification
You agree to indemnify and hold harmless Neuralist and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your content, your use of Neuralist, your interactions with other users, or your violation of these Terms.
22. Termination
You may stop using Neuralist at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to address security, abuse, fraud, or operational risks. Upon termination, the rights granted to you under these Terms will end.
Termination of your account does not necessarily remove content you contributed to shared boards where retention is necessary to preserve content or conversations available to other authorized members, subject to our Privacy Policy and applicable law. Sections that by their nature should survive termination will survive termination.
23. Changes to These Terms
We may update these Terms from time to time. The revised Terms will be effective when posted on this page unless a later effective date is stated. Where appropriate, we may provide additional notice of material changes. Your continued use of the Services after revised Terms become effective constitutes acceptance of those Terms.
24. Governing Law
These Terms are governed by the laws of the State of Tennessee and applicable United States federal law, without regard to conflict of law rules. Venue for any dispute will be the state or federal courts located in Tennessee, and you consent to their jurisdiction.
25. Severability and Waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of our right to do so later.
26. Contact
Questions about these Terms can be sent to contact@neuralist.io.
